Licensing

License of Gordon Russell's images for clients photoshoot to be conveyed to client for use of all images for self promotion in all mediums and territories unless otherwize agreed. This license cost is inclusive in price of the Shoot.

Agreement

This agreement between Gordon Russell Photography (hereafter "Photographer") and the Client, governs the stock sale described in the accompanying invoice, and along with these Terms & Conditions, constitutes the entire agreement between the parties concerning that assignment.

Payment

30% deposit payable before commencement of main shoot unless waived by the Photographer. Client shall make payment balance within 30 days of shoot completion.

Copyright

All of the Photographs created by the Photographer (both moving and still) and their copyright are the sole and exclusive property of the Photographer. Grant of any reproduction rights to the Client is conditioned upon receipt of payment in full. All rights not expressly granted shall be reserved by the Photographer. Modification of Photograph(s) and/or incorporation of Photograph(s) in any layout of concept shall not constitute a Joint Work.

Additional Usage

If Client wishes to make any additional uses of the photographs not covered in the initial agreement, Client shall obtain permission from the Photographer and pay any additional fee to be agreed upon.

Indemnification

Client hereby indemnifies and holds the Photographer harmless against any and all liabilities, claims, and expenses, including reasonable legal fee's, arising from Client's use of Photographer's work. The Photographer similarly indemnifies and holds Client harmless against any and all liabilities, claims and expenses, including reasonable legal fees arising from Photographer's negligence.

Authorship Credit

A credit in the name of Gordon Russell shall accompany the Photographs whenever practical. (This is applicable to professional work and usage as opposed to private clients)

Retouching

Any additional retouching requested by the Client beyond that included in any predefined package will be quoted on a case-by-case basis as an additional cost.

Release

The CLIENT hereby assigns the Photographer the irrevocable and unrestricted right to use and publish photographs of the CLIENT or in which the CLIENT may be included, for editorial, trade, advertising, educational and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same without restriction. The CLIENT releases all claim to profits that may arise from use of images. Any departure from the above must be agreed in advance.
